These Terms and Conditions govern the provision of services by Dynamic Dashing Solutions (“we”, “us”, or “our”) to you (“you” or “Client”). By engaging our services, you agree to these terms.

1. Services

We provide online accounting, payroll, invoicing, and related services powered by Sage Business Cloud Accounting (formerly Sage One). As certified Sage advisers, we assist with setup, training, support, and compliance (e.g., SARS submissions). Services are delivered remotely via internet access.

2. Client Responsibilities

3. Fees and Payment

Fees are as quoted in our service agreement or invoice. Payment is due [e.g., monthly in advance / within 7 days of invoice]. Late payments attract interest at the prime rate + 2%. We may suspend services for non-payment.

4. Term and Termination

Services commence on agreement acceptance and continue until terminated by either party with [e.g., 30 days’] written notice. We may terminate immediately for material breach, non-payment, or fraud. Upon termination, access to services ceases, and you must settle all outstanding amounts.

5. Limitation of Liability

We provide services on a “best efforts” basis. We are not liable for losses arising from inaccurate information you provide, third-party software issues (e.g., Sage), or your non-compliance. Our total liability is limited to the fees paid in the preceding 12 months. We exclude liability for indirect, consequential, or punitive damages to the extent permitted by law.

6. Intellectual Property

Sage software remains the property of Sage. Any custom reports, templates, or materials we create for you are licensed for your use only during the service term.

7. Confidentiality and POPIA

We treat your information as confidential and process it in accordance with POPIA. See our separate Privacy Policy for details on collection, use, and protection of personal information. We may share data with Sage or regulators as required.

8. Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control (e.g., internet outages, natural disasters).

9. Governing Law and Jurisdiction

These terms are governed by South African law. Any disputes shall be resolved in the courts of KwaZulu-Natal.

10. Changes

We may update these terms with notice via email or our website. Continued use constitutes acceptance.

11. Entire Agreement

These terms, together with any service agreement or quote, constitute the full agreement.
